Genoa 27 August 2020 – The Shareholders’ Meeting of EdiliziAcrobatica S.p.A. (“Company” or “EDAC”), a
\ncompany specialized in double safety rope construction works, such as maintenance and renovation of
\nbuildings and other architectural structures, listed on the AIM Italia segment of the Italian Stock Exchange
\n(EDAC ticker) and Euronext Growth (ALEAC ticker), met today under the chairmanship of Simonetta Simoni
\nand resolved to allocate the net profit for 2019, equal to Euro 1,225,175.00 as follows:
\n– Euro 760,726.75 to dividends to be distributed, equal to Euro 0.096 per share, gross of withholding taxes,
\nwith ex-dividend date, in accordance with AIM Italia’s 2020 calendar, on 31 August 2020, date of
\nentitlement to receive the dividend on 1 September 2020 and date of payment of the dividend on 2
\nSeptember 2020;
\n\u2022 The remaining part, equal to Euro 464,448.25, for Euro 3,979 to the legal reserve, which with this
\nallocation reaches the legal limit of 20% of the share capital, and for Euro 460,469.25 to the
\nretained earnings reserve.
\nAt the same meeting, the Shareholders’ Meeting, having noted the resignation of Director Riccardo Iovino
\nfrom the Board of Directors, accepted his willingness to be appointed as a new member of ARIM Holding,
\nthe holding company of which Iovino himself is sole director, and which already holds a stake of
\napproximately 76.24% of the share capital of EdiliziAcrobatica S.p.A., available.
\nTo guarantee full and complete continuity in the management of the Group as well as greater efficiency
\nand cost containment, Riccardo Iovino himself will hold the position of Managing Director in the name and
\non behalf of ARIM Holding.
\n“We have considered it appropriate, in recognition of the investors who have believed in us, a partial
\ndistribution of dividends, which is also possible despite the particularly delicate period for the global
\neconomy – commented Riccardo Iovino -. This is certainly an important result for the Group which, during
\n2019, as well as in 2020, has made important investments aimed at fostering its growth and penetration
\ninto new territories both in Italy and Europe. The development strategies developed in recent years,
\nmoreover, are absolutely in line also with the entry into the Board of Directors of ARIM Holding, the family
\nholding company of which I am sole director. The objective of this change, which sees me remain in my role
\nas a board member of the Board of Directors of EdiliziAcrobatica, also in view of the acceleration of the
\nGroup’s expansion on the international front, is in fact to make the best practices that have led
