\nEDILIZIACROBATICA S.p.A. APPROVED THE PAS
\nGenoa, 13 May 2019 – The Board of Directors of EdiliziAcrobatica S.p.A. today approved the “PAS
\nProspectus”.
\nIt should be noted that the Company, confident in its income generating capacity, had undertaken during
\nthe IPO to reach an EBITDA 2018 target of Euro 4.2 million, net of the effects of the listing process; in the
\nevent of failure to reach the threshold indicated above, the PAS (Price Adjustment Share) mechanism
\nprovided for the progressive cancellation up to 20% of the shares held by the historic shareholders. The
\n2018 financial year ended with a normalised 2018 EBITDA (net of the accounting effects of the listing) of
\napproximately Euro 4.5 million.

\nArticles of Association.
\nEdiliziAcrobatica has also given the auditing firm Deloitte & Touche S.p.A. the mandate to verify the
